The consultant must provide two copies of all insurance certificates to the City, and the insurance policies under coverage B and D must name the City as co-insured. The agreement also states that the consultant must maintain Professional Liability or equivalent Errors & Omissions Liability with a limit of liability not less than $1,000,000 per occurrence. If the self-insured retention or deductible exceeds $10,000, the City reserves the right to review the consultant's financial statements. The consultant must also ensure that the retroactive date of the professional liability policy equals or precedes the effective date of the agreement. If the policy is canceled or any other event triggers the right to purchase a Supplemental Extended Reporting Period (SERP), the consultant must agree to purchase a SERP with a minimum reporting period of three years. The miscellaneous provisions of the agreement state that it will be governed by the laws of the State of Maryland. Both parties bind themselves and their successors to the terms and conditions of the agreement. The agreement represents the entire agreement between the parties and supersedes any prior negotiations or agreements. Any changes or modifications to the agreement must be made in writing and signed by all parties. The consultant is required to comply with federal and state Equal Opportunity Laws and not discriminate against employees or applicants based on various protected characteristics. Waiver of any breach of the agreement by one party does not constitute a waiver of subsequent breaches. The agreement is signed by the consultant and the Mayor of The City of Frederick, and it has been reviewed and approved for legal sufficiency by the Office of Legal Services.
