This is a non-disclosure agreement between The Corporation of the City of Brantford (referred to as the "City") and a successful proponent (referred to as "SP"). The agreement states that SP will provide certain services or products to the City, referred to as the "Project". The agreement outlines that SP will have access to confidential information during the course of the Project, including personally identifiable information, research plans and results, City computer systems and communications network information, City finances and business plans, and information provided by third parties. SP is prohibited from disclosing this confidential information to any third party without authorization from the City. SP is also not allowed to use the confidential information for any purpose other than fulfilling their obligations for the Project. The agreement states that all intellectual property rights in the confidential information belong exclusively to the City. Upon termination or completion of the Project, SP is required to deliver all records to the City and destroy any remaining confidential information in their possession. SP must comply with security measures and instructions provided by the City to protect the confidential information. SP is obligated to notify the City of any unauthorized disclosure or use of the confidential information and make commercially reasonable efforts to minimize the effect of such disclosure. The agreement excludes information that is publicly available without restrictions or obtained from a third party not under confidentiality obligations to the City. SP may disclose confidential information if required by law, but must notify the City of such disclosure. SP is responsible for indemnifying and holding the City harmless from any loss or damage resulting from a breach of the agreement. The City is entitled to seek injunctive relief or other equitable remedies in case of a breach. The City disclaims any liability for the accuracy or completeness of the confidential information. The obligations of SP under this agreement continue even after the termination or completion of the Project, unless otherwise agreed upon in writing. The agreement is governed by the laws of the Province of Ontario, and SP consents to the jurisdiction of the courts of Ontario. The agreement is signed by representatives of both the City and SP.
