The document is a contract between the County of Du Page, Illinois and a contractor for the provision of goods and/or services. The contract can be amended by mutual agreement, and any amendments must conform to State of Illinois Statutes and County procedures for Change Orders. If the County needs to take legal action to enforce the terms of the contract and requires the services of an attorney, the County is entitled to reasonable attorney's fees and all expenses and costs incurred in enforcing any remedy. If any portion of the contract is determined to be invalid and unenforceable by a court of competent jurisdiction, that portion will be deemed separate and independent, and the validity and enforceability of the remaining portions of the contract will not be affected. The contract is governed by the laws of the State of Illinois, and any disputes will be resolved in the circuit court for the Eighteenth Judicial Circuit in DuPage County, Illinois. The contract, along with the listed documents, constitutes the entire agreement between the parties, and there are no other oral or written covenants, promises, conditions, or understandings. The document is signed by the Procurement Officer of the County of Du Page, Illinois and an authorized representative of the contractor.
