The vendor must provide the new cost for the next option period by September 15th of each contract year. Either party can terminate the contract with 90 days written notice to the other. In case of a breach of contract by the vendor, the county can terminate the agreement and seek an alternate provider for services. Insurance Requirements state that the vendor must maintain Worker's Compensation and Employers Liability Insurance, Commercial General Liability Insurance, and Automobile Liability Insurance. The vendor must provide certificates of insurance to the county and ensure that subcontractors also maintain the required insurance coverage. The insurance policies must be written by an insurance company with a minimum A.M. Best Insurance Company rating of A-. The vendor cannot assign the agreement without the prior written consent of the county, and subcontracting is not allowed without the county's consent. If subcontracting is allowed, the vendor remains responsible for all work associated with the contract. The vendor is considered an independent contractor and not an employee or agent of the county. The vendor must indemnify and save harmless the county from any loss, claims, suits, or actions resulting from their actions or negligence. The document ends with specifications for mowing and trimming services, stating that visits are necessary for each property during the growing season and providing details on the frequency and areas to be covered. Additionally, it is specified that the East Lot and the outer area of the Juvenile Justice Center (JJC) are not included in the mowing and trimming services.
