The contractor is required to fully indemnify, hold harmless, and defend the County and its officers, agents, and employees from any claims and demands arising from the performance of the contract. The contractor is also responsible for any damages, losses, or costs resulting from errors, omissions, or negligent acts. All insurance must be obtained from companies with at least an A-VII rating in Best's Guide or the equivalent. The indemnification and insurance requirements survive the termination of the contract. The County must notify the contractor of any lawsuit involving indemnification within 60 days of service of process. Failure to provide notice may result in additional defense costs for the County. The proposal form includes space for the offeror's information, including their full name, business address, contact person, and contact details. The offeror, who should be the President or Partner of the organization, must certify their role in the organization.
