The total of all Change Orders issued may not increase the original agreement amount by more than 25%. The agreement specifies the term of the contract, which is three years from the starting date specified in the Notice to Proceed. It also includes provisions for renewals, time extensions, and termination. The City may terminate the agreement for convenience by giving 30 days written notice to the Contractor. In such cases, the Contractor must discontinue all services and submit an invoice for the services performed up to the termination date. Termination for convenience does not constitute a default or breach of the agreement, and the Contractor's only remedy is to receive payment for services rendered. The agreement also includes provisions for termination for cause by the City in the event of a default by the Contractor.
