Neither party can assign this agreement or their rights under it without the written approval of the other party. Both parties agree to maintain the confidentiality of any confidential information received from the other party, and the duty to maintain confidentiality continues beyond the term of the agreement. All work product, equipment, and materials created or purchased under the agreement belong to the state and must be delivered to the state upon expiration or termination of the agreement. The vendor assigns all rights and interests in the materials it prepares under the agreement to the state. The vendor understands that the state must disclose any records it receives from the vendor upon request, except for records that are confidential. The vendor agrees to comply with the state's instructions on how to respond to requests for information under the open records law. If a lawsuit is filed by the state to obtain performance due under the agreement and the state is the prevailing party, the vendor is responsible for paying the state's reasonable attorney fees and costs. The agreement does not agree to binding arbitration or mediation and does not waive the right to a jury trial. The document is signed by the vendor and the representatives of the North Dakota Department of Human Services.
