The document is a contract agreement between a Contractor and a County. The Contractor agrees to waive the terms of the Georgia Prompt Pay Act, recognizing the County's budgetary process. The work and services required by the contract may require inspection and approval from the County's engineers or consultants, and the time for payment will be tolled for a reasonable period for these inspections and approvals. The Contractor also agrees to toll the time for payment for an additional period for the approval of the Contract Technical Representative overseeing the project. Once the necessary installations and approvals have been made, the County has 30 working days to make the payment, subject to any documentation requests for evaluation. The County may institute a 10% retainage at any time. The Contractor is required to indemnify and hold harmless the County, Engineer, Engineer's Consultants, and their officers, directors, employees, agents, and other consultants from any claims, costs, damages, losses, and expenses arising from the work, except for claims caused by the indemnified party's sole negligence. The agreement consists of three parts: Contract Form, Certificate of Insurance, and Drug Free Workplace. The Contractor agrees to perform the project in a manner that ensures the safety of workers and does not pose a threat to the environment or violate any environmental regulations. The Contractor also agrees to comply with Georgia laws regarding authorization or licensing to conduct business in the state. The Contractor designates the Secretary of the State of Georgia as its agent for service of process and consents to the personal jurisdiction of any court in Glynn County, Georgia. The Contractor agrees to comply with federal and state requirements concerning fair employment and treatment of applicants without discrimination. The Contractor is solely responsible for completing the work and subcontracting requires prior written approval from the County. The Contractor and subcontractors must compensate employees at a rate equal to or greater than the prevailing local wage rate. They must also comply with the Official Code of Georgia regarding drug-free workplace programs. The Agreement cannot be assigned or transferred without the County's written consent. The Agreement includes provisions regarding waivers, illegal or unenforceable terms, and the binding nature of the agreement on the parties and their legal heirs, representatives, successors, and assigns. Any modifications or amendments to the agreement must be in writing and signed by authorized representatives of all parties. This Agreement is considered the final and complete agreement between the parties, superseding any prior oral or written agreements. Additionally, any prior agreements, whether oral or written, will have no effect on the construction of any provisions or terms of this Agreement.
