The Consultant is required to retain its records and supporting documentation for a period of three years, except in the event of the Consultant going out of business, in which case all records related to the project must be turned over to the City. The agreement specifies that the term of the agreement begins upon its execution by the City and ends upon the completion and acceptance of all services described in the agreement. Either party has the right to terminate the agreement with a 15-day written notice under certain circumstances. The Consultant is required to hold harmless, indemnify, and defend the City and its employees from any lawsuits, claims, or causes of action arising from the negligent or intentional acts of the Consultant. The Consultant is also required to maintain insurance coverage for all operations under the agreement and provide certificates of insurance to the City. The agreement states that it does not waive any immunity from suit that the City is entitled to under Texas law. It also prohibits the use of funds received under the agreement for partisan political activity. The Consultant is not allowed to discriminate against any person based on race, color, religion, sex, national origin, age, or disability. The agreement represents the entire and integrated agreement between the City and the Consultant, superseding all prior negotiations, representations, or agreements. It includes various general provisions, such as the invalidity of any provision not affecting the validity of other provisions, the exclusive use and benefit of the City for the services provided, and the application of the Texas Public Information Act to the agreement. The agreement also includes provisions regarding assignment, subletting, and transfer of interests.
