The services performed by the firm will be subject to the control and approval of the Director of Economic Development or their authorized representative. Any changes to the contract must be approved in writing by the Purchasing Agent and the Contractor. The contract period initially covers one year, but it can be renewed up to four times for one-year periods by mutual agreement. The County will provide a notice of intent to renew, but it does not commit to a renewal. The contractor must give prior written notice if a delay is foreseen, and the County has the right to extend the delivery date. If there is a default in delivery or failure to meet specifications, the County can purchase supplies, equipment, or services elsewhere and charge the full increase in cost to the defaulting contractor. All firms doing business in Loudoun County are required to be licensed, and contractors located or owning property in the county must ensure that all real and personal property taxes are paid. The successful offeror must procure and maintain insurance coverages for injuries to persons and/or property damage arising from the work performed. The insurance coverage must meet specific requirements, including general liability, automobile liability, and workers' compensation. The offeror's insurance should be primary over any applicable insurance maintained by the County. The offeror must provide certificates of insurance and endorsements affecting coverage, which should be signed by a County representative.
