If the city fails to do so, the Prime Contractor/Supplier may terminate the contract. The Prime Contractor/Supplier cannot assign the contract without written consent from the city. The Prime Contractor/Supplier agrees to release the city from all liability for injury, damage, or loss sustained during the performance of the contract, even if caused by the city's negligence. The Prime Contractor/Supplier also agrees to defend, indemnify, and hold the city harmless for any claims, liabilities, and expenses related to injury, damage, or loss caused by their own negligence, the city's negligence, or strict product liability.
