This document is an agreement between the City of San Marcos, Texas and a Consultant for the provision of architectural/engineering services. The agreement includes provisions for termination, compensation, insurance, indemnity, and miscellaneous provisions. According to the agreement, either party can terminate the agreement with a 15-day written notice if the other party fails to perform substantially in accordance with the terms of the agreement. The City can also terminate the agreement at will with a 15-day written notice to the Consultant. In the event of termination, the Consultant will be compensated for services performed up to the termination date, and they must deliver all information and materials developed or accumulated during the services to the City. The Consultant is required to hold harmless, indemnify, and defend the City and its employees from any lawsuits, claims, demands, or causes of action arising from their negligent or intentional acts. The Consultant is also required to maintain insurance coverage for all operations under the agreement and provide certificates of insurance to the City. The agreement is governed by the law of the State of Texas, and any disputes will be resolved in Hays County, Texas. The Consultant is prohibited from using funds received under the agreement for partisan political activity. They are also required to comply with non-discrimination policies and affirm that they have not made any valuable gifts to individuals involved in the selection of consultants for the City. The agreement includes various miscellaneous provisions, such as the severability of invalid provisions, exclusive use and benefit of services by the City, compliance with the Texas Public Information Act, and the binding of both parties and their representatives to the agreement. The agreement represents the entire agreement between the City and the Consultant and supersedes any prior negotiations or agreements. Any exhibits or attachments to the agreement are incorporated by reference.
