This document is a cooperative purchasing agreement between the City of Tucson and an eligible procurement unit. The agreement allows the eligible procurement unit to purchase materials and services from vendors at the prices and terms contained in contracts between the City of Tucson and those vendors. The City will make certain contracts available to the eligible procurement units, and the specifications for the materials and services will be determined by the City's Department of Procurement. The procurement processes will be conducted in accordance with the City's Charter, Procurement Code, and administrative policies and procedures. The eligible procurement unit is responsible for ensuring its own legal requirements are met and for any additional actions necessary to meet those requirements. The City may invite the eligible procurement unit to participate in solicitations. The eligible procurement unit must ensure that purchase orders issued against City contracts comply with the terms and prices established in the contract and make timely payments to vendors. They are not allowed to use City contracts to obtain additional concessions or reduced prices and cannot advertise or market City contracts without the City's consent. The eligible procurement unit is responsible for ordering materials or services under the agreement, and the City is not liable for any violations by the eligible procurement unit. The exercise of any rights or remedies by the eligible procurement unit is their exclusive obligation, but the City may join in the resolution of any controversy if desired. The City may terminate the agreement if the eligible procurement unit fails to comply with the terms of a City contract. The agreement will take effect upon execution by the parties and can be terminated with 30 days' written notice. Failure of the eligible procurement unit to secure performance from the contractor does not require the City to exercise its own rights or remedies. The agreement is exempt from certain provisions of Arizona Revised Statutes. Both parties agree not to discriminate against any employee or applicant for employment. The agreement must be approved as to form by the attorneys for both parties.
