This document is a Concession Agreement between a county in Florida (referred to as the COUNTY) and a concessionaire. The failure of the COUNTY to take action in case of breach or default by the concessionaire does not waive their rights, and the acceptance of consideration or further performance by the concessionaire does not waive any default or breach by them. The COUNTY agrees to allow the concessionaire to conduct a walk-through inspection of the facility at least seven weeks before the commencement of the agreement. The agreement states that it constitutes the entire agreement between the parties and can only be changed in writing. It supersedes any previous agreements between the parties. The parties confirm that the use of the facility by the concessionaire or any improvements made by them should not be considered a joint venture or undertaking between the COUNTY and the concessionaire. The document concludes with the signatures of the concessionaire and the COUNTY, along with the date of execution. It is also attested by the Clerk of the Circuit Court and approved by the County Attorney. The document includes two exhibits: Exhibit A, which contains the legal description of the facility, and Exhibit B, which includes the menu and concession pricing.
