This document is a contract between the County of Du Page, Illinois and a contractor for the provision of goods and/or services. The contract is for a one-year period starting from a specified date and can be renewed according to the specifications mentioned in the bid invitation. The maximum duration of the contract and renewals is four years. The contractor is required to provide the goods and/or services at the prices quoted on the bid form. The County will make payments in accordance with the Illinois Local Government Prompt Payment Act, except if the contractor fails to comply with certified payroll requirements of the Illinois Prevailing Wage Act or Davis Bacon Act. The contract can be amended by mutual agreement, and any amendments will follow the State of Illinois Statutes and County procedures for Change Orders. If the County needs to take legal action to enforce the terms of the contract and uses the services of an attorney, the County is entitled to reasonable attorney's fees and all expenses and costs incurred in enforcing the contract. The contract includes a severability clause, stating that if any portion of the contract is determined to be invalid and unenforceable, it will be considered separate from the remaining portions of the contract. The contract is governed by the laws of the State of Illinois, and any disputes will be resolved in the circuit court for the Eighteenth Judicial Circuit in DuPage County, Illinois. The contract, along with the documents listed in the contract, constitutes the entire agreement between the parties, and there are no other oral or written covenants, promises, conditions, or understandings.
